1. Who we are

These Terms of Use ("Terms") govern your access to and use of the website matchresume.ai, including any related sub-domains, web applications and services (together, the "Service"), provided by "Arcruit" SIA (reg. no. 40203656930, Latvia). Our registered office address and contact details are set out in Section 18 (Contact and complaints).

In these Terms, "we", "us" or "our" means Arcruit SIA, and "you" or "user" means the individual using the Service. By creating an account, purchasing credits or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. What matchresume.ai does

matchresume.ai is a tool that helps individuals build and format CVs or résumés and cover letters, analyse a CV and/or cover letter against a job description, receive AI-assisted suggestions for improving these documents (for example, highlighting missing skills or proposing better phrasing or structure), and automatically insert selected suggestions or bullet points into the CV or cover letter once approved by you.

We do not act as a recruitment agency, employment agency or employer, and we do not guarantee that you will receive any job offer, interview or other specific outcome. All decisions about what to include in your CV or cover letter and how to use them remain solely your responsibility.

3. Who may use the Service

3.1 Age and capacity

You may use the Service only if you are at least 16 years old and have the legal capacity to enter into a binding contract under the laws of your country of residence. If you are between 16 and the age of majority in your country, you confirm that you have any parental or guardian consent that may be required by local law.

We do not knowingly provide the Service to children under 16. If we become aware that a child under 16 is using the Service, we may suspend or close the account.

3.2 Territory

The Service is offered worldwide, with a focus on users in the European Union. We do not guarantee that the Service is appropriate or lawful in every jurisdiction. You are responsible for complying with any laws that apply to you when using the Service.

4. Your account

4.1 Registration

To use certain features of the Service, you must create an account and provide accurate, up-to-date information, such as your name and email address. You must keep this information up to date at all times.

4.2 Security

You are responsible for keeping your login details confidential and for all activity that occurs under your account. If you suspect any unauthorised use of your account, you must notify us promptly at support@matchresume.ai. We may require you to change your password or apply additional security measures.

4.3 Account closure

You may request closure of your account at any time by contacting us at support@matchresume.ai from the email address associated with your account and clearly stating that you wish to close your matchresume.ai account. Once we process your request, your account will be deactivated and you will no longer be able to access the Service or any User Content or outputs stored in your account. Any unused credits or tokens remaining in your account at the time of closure will be lost and are not refundable.

After account closure we will handle your personal data in accordance with our Privacy Policy and our legal obligations, which may include deleting or anonymising most data while retaining certain information where we are required to do so by law or where we have a legitimate interest, for example for accounting, tax or fraud prevention purposes.

5. Credits, tokens, pricing and payments

5.1 Credits and tokens

The Service is based on a credits-to-tokens model. You may purchase credits from us. Credits may be converted into tokens that you can use to access certain features, such as CV analysis, AI-generated suggestions and improved bullet points. The features that are available for tokens, and the number of tokens required for a feature, will be shown in the Service from time to time.

Credits and tokens have no cash or monetary value. They are personal to your account and cannot be transferred or sold. Credits and tokens are not refundable, except where mandatory consumer law requires otherwise. Unless stated otherwise in the Service or required by law, credits and tokens do not expire while your account remains active. We may reasonably close inactive accounts as described in Section 4.3.

5.2 Free tier

We may offer a free or limited version of the Service, for example with a limited number of CVs or analyses. We may change the scope, limits or availability of any free tier at any time.

5.3 Prices and taxes

All prices are shown in the currency indicated in the checkout flow and either include or exclude VAT as displayed. We may change prices from time to time. Any price change will apply only to future purchases and will not affect credits or tokens that you have already bought. You are responsible for any taxes applicable to your purchase that we are not required to collect.

5.4 Payments and billing

Payments are processed by our third-party payment providers, such as Stripe. By submitting your payment details, you authorise us and our payment providers to charge the applicable amounts. We do not store your full payment card details; these are handled by the payment provider. If a payment fails, we may suspend your access to paid features until payment has been successfully completed.

5.5 Refunds

All purchases of credits and tokens are final. Credits and tokens are non-refundable and have no cash value, except where mandatory consumer law in your country expressly provides otherwise. Nothing in these Terms affects your non-waivable statutory rights as a consumer.

6. Use of the Service

You may use the Service only for your own personal, non-commercial purposes and to create and improve your own CV and related application materials. You must not use the Service on behalf of an employer, staffing agency or other organisation without our prior written agreement. You must not resell, license or otherwise commercially exploit the Service or any outputs, and you must not circumvent or attempt to circumvent any technical or usage limits.

7. AI-generated suggestions and your responsibility

7.1 How AI is used

The Service uses AI technologies, including third-party AI providers, to analyse your CV and job description, generate suggested improvements, bullet points and phrasing, and help with structure and content ideas. AI suggestions are generated automatically based on patterns in data and on your inputs.

7.2 Your responsibility

You remain fully responsible for reviewing all suggestions, deciding which suggestions to accept or reject, and ensuring that your CV and application materials are accurate, truthful and not misleading. You are also responsible for ensuring that your CV complies with any obligations you have towards your current or former employer, for example confidentiality or non-disclosure obligations, and that your application complies with the terms of any job platform or employer and with applicable laws.

You should carefully review all AI-generated content before using it in real-world applications.

7.3 No guarantee of outcomes

We do not guarantee that you will obtain any job, interview or response. We do not guarantee that any particular suggestion will be suitable for a given employer or role, or that the Service will improve your chances of being hired. Any decisions made by employers, recruiters, job platforms or other third parties are outside our control.

8. Your content and our licence

8.1 Your content

"User Content" means any content you upload or provide to the Service, including your CV or résumé, cover letters and other documents, job descriptions you paste or upload, notes and prompts, and any other text or materials you provide. You retain ownership of your User Content.

8.2 Licence you grant to us

To operate and improve the Service, you grant us a non-exclusive, worldwide, royalty-free and sublicensable licence to host, store, process and display your User Content and to create derivative works for the purpose of generating suggestions and improving your CV. You also grant us the right to use anonymised or aggregated forms of your content to improve and develop our models, features and analytics.

We will not sell your personal data in a form that directly identifies you, such as your name, email address or full CV, to third parties for their own independent marketing purposes. We may, however, use your data to create aggregated and/or anonymised statistics and insights, for example about skills trends, job-market patterns or CV structures, and we may share or commercially exploit these in anonymised form. Such information does not identify you personally.

We will not allow third-party AI providers to use your personal data for their own separate model training purposes unless this is explicitly stated and a valid legal basis, such as your consent, applies, as described in our Privacy Policy.

8.3 Backups and availability

You are responsible for keeping your own copies of your CV and other materials. We will use reasonable efforts to keep the Service available, but we do not guarantee uninterrupted or error-free operation.

9. Acceptable use

You must not use the Service to upload content that is illegal, discriminatory, hateful, harassing, defamatory, pornographic or otherwise offensive. You must not share personal data of third parties without their permission where this is not permitted by law, for example by including references with full contact details without consent. You must not infringe third-party intellectual property rights or other rights. You must not attempt to interfere with or compromise the security or integrity of the Service or underlying systems, and you must not reverse engineer, decompile or attempt to extract the source code of the Service. You must not use bots, scrapers or other automated means to access or use the Service in a manner not intended by us.

We may monitor usage patterns and take appropriate action, including suspension or removal of content, where we reasonably believe that these rules are being violated.

10. Intellectual property in the Service and outputs

10.1 Our IP

All rights, title and interest in and to the Service, including its software, design, templates, text, graphics, trademarks and other content, are owned by or licensed to Arcruit SIA and/or its licensors. Except for the limited rights expressly granted in these Terms, you do not obtain any rights to our intellectual property.

10.2 Outputs (AI suggestions and edited CV)

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a non-exclusive licence to use, download and modify the outputs generated for you, such as suggested bullet points and revised CVs, for your personal career and job-search purposes. You may not present such outputs as generated by you without modification if this would be dishonest or misleading, for example by claiming experience or skills that you do not actually have.

11. Business partners and talent pool (optional feature)

11.1 What this feature does

We may offer an optional feature that allows you to add your CV and/or other application documents created or stored in the Service to a candidate database, or "talent pool", that our selected business partners can search for potential candidates. Our business partners may include employers, recruitment agencies, headhunters or similar organisations ("Business Partners").

11.2 Your choice and consent

You decide whether to use this feature. You can still use the main matchresume.ai functionality without joining the talent pool. We will only include your profile in the talent pool and make it available to Business Partners if you give us your explicit consent, for example by ticking a dedicated box during registration or later in your account settings. You can withdraw this consent at any time in your account or by contacting support@matchresume.ai.

If you withdraw consent, we will stop making your profile available to Business Partners for new searches. This does not affect any contacts or processing that already took place before withdrawal, for example where a Business Partner has already received or downloaded your CV.

11.3 What Business Partners can see and how they contact you

If you opt in, our system may show your profile to Business Partners based on criteria they select, such as location, role, skills or experience level. We may provide Business Partners with your CV and application documents stored in the Service and the contact details you choose to include, such as your email address, phone number or LinkedIn profile, so that they can contact you directly if they are interested.

Any communication or relationship between you and a Business Partner, including interviews, job offers and contracts, takes place directly between you and that Business Partner.

11.4 Our role and responsibility

For the purposes of the talent pool feature, we act as an intermediary that enables Business Partners to search and view candidate profiles. We do not guarantee that any Business Partner will contact you or make you an offer. We do not check or guarantee the reliability, identity or legality of any Business Partner, and we do not become a party to any employment or other contract between you and a Business Partner.

You should carefully assess any Business Partner, role and offer before sharing additional information or accepting any job. Nothing in this Section limits our own responsibility to comply with these Terms or applicable law.

12. Third-party services

The Service may integrate with or link to third-party services, such as payment processors, AI providers, analytics tools, email services or job platforms. We do not control third-party services and are not responsible for their content, their terms and privacy practices, or their availability or performance. Your use of third-party services is governed by their own terms and privacy policies.

13. Changes to the Service and these Terms

We may modify the Service, for example by adding or removing features or changing limits, and we may modify these Terms. If we make material changes to these Terms, we will provide notice, for example via email or via the Service interface. Your continued use of the Service after the changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may request closure of your account.

14. Suspension and termination

We may suspend or terminate your access to the Service, in whole or in part, if you materially breach these Terms or applicable law, if we reasonably believe that your use of, or inability to use, the Service is fraudulent, abusive or poses a security risk, if we are required to do so by law or by a competent authority, or if suspension or termination is reasonably necessary for technical, operational or safety reasons, for example to protect the Service and other users.

Where reasonable, we will notify you in advance and give you a chance to remedy the issue. In serious cases, such as illegal content or security incidents, we may suspend or terminate your access immediately.

Upon termination, your right to use the Service ceases. We may delete or anonymise your data in accordance with our Privacy Policy and our legal obligations. Termination does not affect any rights or obligations that have accrued prior to termination.

15. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, we do not warrant that the Service will be uninterrupted, secure or error-free. We do not warrant that any AI-generated suggestions, bullet points or other outputs will be accurate, complete or suitable for any particular job, employer or situation. We do not warrant that using the Service will result in any specific outcome, including being invited to an interview or receiving a job offer.

All information and suggestions provided through the Service are for informational and support purposes only. You remain responsible for reviewing and deciding whether and how to use any suggestions in your CV or job applications.

We do not control and are not responsible for decisions made by any employer, recruiter, job platform or Business Partner, or for the availability, content or terms of any third-party websites or services that are linked with or integrated into the Service.

Nothing in these Terms excludes or limits any warranties or rights that cannot be excluded or limited under applicable law.

16. Limitation of liability

To the maximum extent permitted by applicable law, we and our directors, employees, contractors and agents are not liable for any loss of profit, loss of business, business interruption or loss of business opportunity, for any loss of data or loss of use, or for any indirect, consequential or special loss or damage. We are also not liable for any loss or damage arising out of or in connection with your use of, or inability to use, the Service, your reliance on any outputs or suggestions generated by the Service, or any communications, dealings or relationships between you and any employer, recruiter, Business Partner or other third party, including those arising through the talent pool feature.

We do not exclude or limit liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law, including your non-waivable rights as a consumer.

If a court or competent authority decides that any part of this Section 16 is invalid or unenforceable, the remainder of this Section will continue to apply to the fullest extent permitted by law.

17. Governing law and disputes

These Terms and any dispute or claim arising out of or in connection with them, including any non-contractual disputes or claims, are governed by Latvian law, without prejudice to any mandatory consumer protection laws that apply in your country of residence. If you are an EU consumer, you may have the right to bring proceedings in the courts of your country of residence.
